These Terms and Conditions ("Terms") govern your use of Nonprofit Budget Builder ("Platform", "Service", "we", "us", or "our"), owned and operated by Bounce Accounting, LLC. By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Service

Nonprofit Budget Builder is a cloud-based software platform designed to assist nonprofit organizations with budgeting, financial planning, forecasting, collaboration, and related financial management activities.

The Service is provided on a self-service basis and does not constitute professional accounting, legal, tax, or financial advice.

2. Eligibility

You must be at least 18 years old and authorized to bind your organization to these Terms to use the Service.

We are not responsible for verifying the authorization of individuals using the Service on your behalf.

3. Subscription Plans

Access to the Service is offered through various subscription plans described on our website.

Fees and billing frequency vary by plan.

We reserve the right to modify subscription plans, features, and pricing upon reasonable notice.

Changes will not affect the current subscription period already paid for.

4. Free Plan

We may offer a free plan with limited functionality.

Features available under the free plan may be modified, limited, suspended, or discontinued at any time.

No service-level commitments apply to free accounts.

We reserve the right to delete inactive free accounts after twelve (12) consecutive months of inactivity.

5. Subscription Term and Automatic Renewal

Paid subscriptions are billed annually in advance.

Unless cancelled in accordance with these Terms, subscriptions automatically renew for successive one-year periods.

To avoid renewal, written notice of cancellation must be received at least thirty (30) days prior to the end of the current subscription term.

By entering into a paid subscription, you authorize us to charge the payment method on file for renewal fees.

6. Payment and Refunds

Subscription fees are non-refundable except as required by law.

Failure to pay subscription fees may result in suspension or termination of access to the Service.

We reserve the right to charge interest and collection costs on overdue accounts to the extent permitted by law.

7. User Accounts

You are responsible for:

  • Maintaining the confidentiality of account credentials.
  • Restricting access to authorized users.
  • All activities occurring under your account.

You agree to notify us promptly of any unauthorized access or security breach.

8. Acceptable Use

You may not:

  • Use the Service for unlawful purposes.
  • Attempt to gain unauthorized access to the Service.
  • Interfere with or disrupt the operation of the Platform.
  • Reverse engineer, copy, modify, or create derivative works from the software.
  • Use automated tools to scrape or harvest data from the Platform.
  • Upload malicious software or harmful code.

9. Customer Data

You retain ownership of all data entered into the Service.

You grant us a limited right to host, process, store, and transmit such data solely for the purpose of providing the Service.

You are responsible for the accuracy, completeness, and legality of all data entered into the Platform.

We recommend maintaining independent backups of all critical organizational data.

10. Intellectual Property

All software, content, trademarks, logos, documentation, and materials related to the Service remain the exclusive property of Bounce Accounting, LLC.

No ownership rights are transferred to users.

Except as expressly permitted, users may not reproduce, distribute, modify, or create derivative works from the Service.

11. Availability of Service

We will use commercially reasonable efforts to maintain the availability of the Platform.

However, we do not guarantee uninterrupted or error-free operation.

Scheduled maintenance, updates, security events, internet outages, and other factors may affect availability.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT.

13. Financial Information Disclaimer

The Service is intended as a tool for analysis and planning only.

Calculations, reports, projections, forecasts, and financial reports generated by the Service are dependent upon information entered by users and may contain errors, omissions, assumptions, or inaccuracies.

Users are solely responsible for reviewing and validating all calculations and outputs before relying upon them for financial, operational, audit, tax, compliance, governance, or strategic decisions.

Use of the Service does not create an accountant-client, tax-client, fiduciary, advisory, or professional services relationship.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

BOUNCE ACCOUNTING, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF FUNDING, OR OTHER ECONOMIC LOSS ARISING FROM THE USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Bounce Accounting, LLC, its officers, directors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Data entered into the Platform.
  • Decisions made based upon Platform outputs.

16. Suspension and Termination

We may suspend or terminate access to the Service if:

  • These Terms are violated.
  • Payment obligations are not met.
  • Use of the Service presents a security risk.
  • Required by law.

Upon termination, access to the Platform may be discontinued. We recommend exporting important data prior to cancellation.

17. Force Majeure

We shall not be liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, cyberattacks, internet outages, labor disputes, governmental actions, or failures of third-party service providers.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles.

Any legal action relating to these Terms shall be brought exclusively in the state or federal courts located in Colorado.

19. Changes to Terms

We may update these Terms from time to time.

Material changes will be communicated through the Platform or by email.

Continued use of the Service following such changes constitutes acceptance of the revised Terms.
